| In accordance with the existing laws of P.R. China and the
principle of equality and credibility, the two parties listed
above enter into this Agreement through negotiation on the
matter that Party A provides Party B with information service. |

|
|
Service for comprehensive membership includes access
to www.jcichina.com as well as email receipt of JCI
Daily regarding latest information on Chinese agricultural
commodities (market express, price daily chart, port
stocks of some major commodities, JCI market analysis
and weekly review, etc). |
| Consulting Membership |
|
|
Besides services for comprehensive membership, services
for consulting membership includes JCI China market
report, JCI China weather forecast and JCI China supply
and demand balance sheet of major Chinese agricultural
products and by-products. Meanwhile, services for consulting
membership include consultation by phone at no more
than 12 times a year. |
| Advisory Membership |
|
|
Besides services for comprehensive and consulting
membership, services for advisory membership includes
JCI analysis on China agricultural policy, JCI speculation
and report on China agriculture trade, JCI special reports
on China agricultural commodities and JCI important
news report. In addition, service for advisory membership
also includes consultation by phone at up to 24 times
a year. |

1. Party B agrees to subscribe to Class ___ Service with payment
of _________and duration from ____to ________. |
| 2. The membership registration requires the Agreement to
be signed and faxed to Part A. The membership will be validated
against the agreed payment. |
| 3. Upon a successful membership registration, Party A will
provide Party B a valid account comprising of a username and
password. The usage of this account should be limited to Party
B exclusively. Should Party B let any other individuals, organizations,
or companies use the account, Party A reserves the right to
suspend the account without a refund and Party B should be
responsible for all damages and losses that may occur thereupon.
In the event that the username and/or password were lost or
stolen, Party B should contact and notify immediately the
service department of Party A, or Party B would be responsible
for all damages and losses that may occur thereupon. |
| 4. All reports, statistics and data on the website of Party
A are exclusively owned by Party A. Without permission from
Part A, Party B is forbidden to copy, reproduce, or transfer
the reports, statistics and data to any other individuals,
organizations, and/or companies. Should Party B make any infringement,
Party A reserves the right to suspend the membership without
a refund and has the option to lodge a lawsuit against Party
B and Party B is responsible for all the expenses that may
occur thereupon. |
| 5. Party B is allowed to shift subscription to upgrade or
downgrade service in the course of its membership period.
If Party B is willing to shift subscription to a upgrade service,
Party B will have to pay additional fee, negotiable depending
on the length of its remaining membership period. If Party
B demands to shift subscription to a downgrade service, Party
A will not pay any refunds but extend the membership period
for Party B in accordance to the difference of service charges
and the remaining length of the originally agreed membership
period. |
| 6. Party B has the right to end the membership at any time
and to demand the refunds for the remaining membership period
if Party A fails to provide updated information to Party B.
But Party B must formally inform Party A of the intent via
mail, fax or email. Party A will pay the refunds based on
the length of the remaining membership period of Party B and
remove all the information of Party B on the website of Party
A in terms of membership, username and password. Party B's
membership will be ended against the refunds paid by Party
A. |
| 7. " Terms & Conditions" should be read carefully. Party
B's registration to the membership on the website of Party
A will be deemed as confirmation of Party B's acceptance of
all the terms and conditions set forth in the " Terms & Conditions
". |
